1. Agreement to Terms

By accessing or using the Ethos Virtual website (ethosvirtual.ai) and services, you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not access or use our services. Ethos Virtual is a service powered by Ethos Research.

2. Description of Services

Ethos Virtual provides AI voice automation services including automated outbound calling, dialing, follow-ups, reminders, lead qualification, research recruitment, and multilingual communication. Services are delivered through subscription plans purchased via our website.

3. Subscriptions and Payments

Plan Selection

We offer subscription plans (Business and Enterprise) with defined monthly pricing in Canadian Dollars (CAD). Each plan includes a set number of voice minutes per month and specific features as described on our pricing page.

Billing

All subscriptions are billed monthly through Stripe. By subscribing, you authorize us to charge your payment method on a recurring monthly basis. Billing begins on the date of subscription and recurs on the same date each month.

Overage Charges

If your voice usage exceeds the minutes included in your plan, additional minutes will be billed at the overage rate specified for your plan: $0.44 CAD per minute for the Business Plan and $0.35 CAD per minute for the Enterprise Plan. Overage charges are billed at the end of each billing cycle.

Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. No refunds will be issued for partial months or unused minutes. To cancel, please contact us at info@ethosmr.com or manage your subscription through your Stripe billing portal.

4. Acceptable Use

You agree to use Ethos Virtual services in compliance with all applicable laws and regulations. You may not:

• Use the service for any unlawful, fraudulent, or deceptive purpose
• Make calls that violate telemarketing laws, do-not-call regulations, or anti-spam legislation in any applicable jurisdiction
• Transmit content that is threatening, harassing, defamatory, or otherwise objectionable
• Attempt to gain unauthorized access to our systems or infrastructure
• Resell, redistribute, or sublicense the service without our written consent
• Use the service in a manner that could damage, disable, or impair service performance

5. Client Responsibilities

You are responsible for:

• Ensuring that your use of AI voice agents complies with applicable laws in your jurisdiction, including consent and disclosure requirements
• Providing accurate campaign inputs, contact lists, and objectives
• Obtaining necessary consents from individuals contacted through the service
• Reviewing call outcomes and campaign results delivered through the platform
• Maintaining the confidentiality of your account credentials

6. Intellectual Property

All content, features, technology, and branding associated with Ethos Virtual are the property of Ethos Research or its licensors. You may not copy, modify, distribute, or reverse-engineer any part of our platform without prior written consent.

You retain ownership of any data, content, or materials you provide to us for use in voice campaigns. By submitting such materials, you grant us a limited license to use them solely for the purpose of delivering the contracted services.

7. Service Availability

We strive to maintain reliable uptime for our AI voice services. However, we do not guarantee uninterrupted or error-free operation. We may perform scheduled maintenance, updates, or modifications to the platform that could temporarily affect service availability. We will make reasonable efforts to provide advance notice of planned downtime.

8. Limitation of Liability

To the maximum extent permitted by law, Ethos Virtual and Ethos Research shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services, including but not limited to loss of revenue, data, or business opportunities.

Our total liability for any claim arising from or related to these terms shall not exceed the amount you paid to us in the twelve (12) months preceding the event giving rise to the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless Ethos Virtual, Ethos Research, and their officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, or expenses arising from your use of the services, your violation of these terms, or your violation of any applicable law or regulation.

10. Privacy

Your use of our services is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.

11. Modifications to Terms

We reserve the right to modify these Terms of Service at any time. Changes will be posted on this page with an updated revision date. Continued use of our services after changes constitutes acceptance of the revised terms. We encourage you to review these terms periodically.

12. Governing Law

These terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts located in Ontario, Canada.
